The parties hereby agree as follows:

Preamble

  1. K.M.G - Krav Maga Global Ltd is an international organization established under the laws of Israel and founded for the promotion of and education in Krav Maga and Personal Safety and Security.
  2. KMG Solutions GmbH, established under German law, collaborates with K.M.G by offering both paid and unpaid online learning programs, including the KMG School Owner Membership Subscription program.
  3. The School Owner (SO) is an individual or group of individuals, partnership, or company who own or operate their own training business or school providing instruction in Krav Maga as part of its service offering.
  4. The objective of the present Agreement is to govern the rights and obligations of the SO as a Professional Member of the KMG Organization, and KMG Solutions GmbH in its provision of providing online learning programs.

Subject Matter

  1. By conclusion of this Agreement, the SO mentioned above shall become a Professional Member of the Organization and will be licensed to run an affiliated Krav Maga school under KMG - Krav Maga Global in the above-mentioned area of the school location.
  2. The SO shall adhere to the current KMG Codes and Guidelines, and is entitled to and has to comply with the rights and obligations set out therein. The SO will utilize only active KMG-certified Instructors to conduct Krav Maga classes, and the official KMG Curriculum and Certification Program, including passports, patches, and diplomas, for certifying trainees. Adhere to territorial guidelines, refrain from offering Krav Maga from competing organizations, and avoid direct competition with fellow KMG Professional Members in terms of territory, students, and staff. Fulfill the membership obligations by paying membership fees and maintaining a good standing within the organization. The SO ensures proper usage of the KMG logo in accordance with the KMG Brand Guide.
  3. The SO is subject to possible further country-specific conditions and must have their active SO activity approved by the respective Director or Representative or KMG-HQ.
  4. The SO is not allowed to make a public offer of services in the protected territory of another KMG School Owner without their consent. The SO can offer regular training and seminars within their local territory and invite national KMG instructors for seminars, subject to KMG-Country regulations. The SO must not target trainees of other KMG Schools or KMG Instructors for any training activities without prior consent from the respective KMG School or Instructor. Any violation of this clause may lead to the termination of this Agreement, subject to a reasonable period to remedy the breach if applicable.
  5. Offering KMG Krav Maga in any country other than the SO’s home country requires prior written approval from both KMG-HQ and the respective KMG-Country. Invitation of international KMG instructors requires approval from KMG-HQ and can be arranged by contacting KMG-Country or KMG-HQ. Seminars with international instructors will be organized by KMG-HQ, with the local SO acting as the host and fulfilling minimum requirements set by KMG-HQ. A profit share model applies, allowing the SO to participate in the event’s success. This ensures the quality and consistency of KMG training standards across regions. Any violation of this clause may result in the termination of this Agreement, subject to a reasonable period to remedy the breach if applicable.
  6. With this Agreement, the SO does not become an employee of KMG-HQ or KMG Solutions and remains responsible and liable for their actions.
  7. The School Owner Membership does not include insurance. We strongly recommend that the SO informs themselves about the legal requirements of their country and acts accordingly.

Membership Benefits

    2. Use of the official KMG Curriculum and Level Certification Program (with passports, patches, and diplomas) for trainee graduation and certification for Practitioner Level 1 to 4. A separate application and adherence to designated regulations are required.
    10. The School Owner Membership includes one KMG Instructor Membership, which is a personal membership for a certified instructor. This instructor membership is legally bound to the School Owner Membership in terms of length, payments, and terms. A separate registration for the KMG Instructor Membership is required. The KMG Instructor Membership provides a range of benefits, rights, and obligations as described in the KMG Instructor Membership agreement.

Territorial Protection System

  1. Each School Owner Membership includes a Territorial Protection Zone around the main registered and active location.     2. No further KMG licenses will be issued in the respective Territorial Protection Zone without the consent of the registered School Owner;
    3. If a location (without a Protection Zone) already exists in an area to be newly protected, it can remain and all parties must accept the coexistence;
    4. A location needs to offer two regular adult training classes a week to be eligible for territorial protection;
    5. A School Owner can obtain territorial protection for additional locations for an additional fee of 40% of the paid School Owner Membership fee per location, applicable for up to five locations. For six or more locations, please contact KMG-HQ to discuss a special offer tailored to larger-scale operations.
    6. Disputes between School Owners regarding territorial boundaries will be subject to mediation, facilitated by KMG-Country or KMG-HQ. In the event that mediation fails to reach a resolution, the final decision will be made by KMG-HQ;
    7. Exceptions to the Protection Zone size and boundaries may be granted under specific circumstances, such as mutual consent between School Owners or high demand in overlapping areas.
  3. Territorial Protection Zone Specifications:
    1. Urban Areas:
      1. Defined as regions with a population density of more than 3,000 people per square kilometer;
      2. The Protection Circle radius is 2 km.

  1. Transition and Buffer Zones:
    1. Urban to Suburban Transition Zones:
      1. In areas where urban and suburban territories meet, a buffer zone of 1-2 km applies;

    2. Suburban to Rural Transition Zones:
      1. In areas where suburban and rural territories meet, a buffer zone of 2-4 km applies;
      2. The Protection Zone in this buffer zone can increase gradually, starting from 5 km and extending up to 10 km as the area becomes more rural.
    3. Overlap Management:
      1. In overlap zones, School Owners must coordinate to avoid direct competition;
      2. Specific rules, such as shared marketing efforts and defined service areas within the overlap zone, apply to ensure market balance;
      3. In cases of conflict or lack of coordination, KMG-HQ or KMG-Country will decide on a resolution.

Term of the Agreement

  1. This Agreement is concluded for an indefinite period of time from its conclusion.
  2. The School Owner has the right to terminate this Agreement at any time during the first 14 days following the online conclusion of this Agreement. After the initial 14-day period, this Agreement can be terminated by either party with written notice (including email) with a notice period of two months to the end of the calendar year. In the event of termination by the School Owner, any membership fees already paid for the remainder of the current membership period will not be refunded.

No remedy period shall be granted if such violation cannot be remedied or the granting of a grace period is unreasonable taking into account the type or severity of the violation;

    4. Violation of the Organization’s codes and regulations by the SO;
    5. Objection to a change in the Organization’s codes and regulations;

Contact Details, Names, and Use of Logo

  1. The SO must ensure that the address and contact details given to KMG-HQ, KMG Solutions, and KMG-Country are always up-to-date.
  2. If the SO wishes to use the words 'Krav Maga Global' and/or 'KMG' in their business title, written approval must be obtained from KMG-HQ before producing any marketing material or registering the business or individual.
  3. The SO may use the KMG logo in accordance with the currently valid version of the KMG Brand Guide for the following – and only for the following:

    3. Any changes to the design or text of the logo are not permitted. The currently applicable logos can be found in the KMG Brand Guide.

KMG Passports, Certificates, Diplomas, and Apparel

  1. KMG-HQ or KMG-Country may, at their discretion, provide the SO with pricing details and payment terms for acquiring KMG Passports, level patches, certificates, participation diplomas, uniforms, apparel, and merchandise, subject to availability and examiner capabilities.     2. Specialized topics requiring specific Instructor Training Programs or KMG certification (e.g., GIC, KIC, CFIC, LEIC, MCIC, etc.) may only be offered after the Instructor completes the corresponding certified training. Mere attendance at a seminar on such topics is inadequate;

    1. The SO is obligated – to the best of their knowledge and data protection rights – to stay informed about any of the SO’s trainees’ problematic backgrounds;
    2. The SO shall ask the trainee for a current Criminal Record if appropriate and if the SO suspects the trainee to have a criminal background.
  5. The SO may not engage in offering Krav Maga services to official military or police units without the prior written consent of KMG-HQ. The process and terms for obtaining consent will be communicated by KMG-HQ upon request.
  6. If employed by the Police or the Military, the SO may provide their certified teaching materials to colleagues.

Student Journey and Level Tests

  1. The SO is responsible for monitoring KMG Students' progress in their training. No Student should undergo testing for a level without meeting the KMG level requirements, including:
    1. Adherence to the general waiting time between levels;
    2. Completion of a minimum of 40 lessons for Practitioner levels and a minimum of 70 lessons for Graduate levels;
    3. In exceptional cases where a highly talented student demonstrates proficiency in KMG skills, or has actively participated in numerous camps, courses, and events, the option may exist to allow the student to undergo testing before fulfilling the standard lesson requirements mentioned above.
  2. The SO or their designated instructor(s) are authorized to conduct tests for their own students up to Practitioner Level 4 (P4), provided that:
    1. Students fulfill all testing requirements;
    2. The Examiner holds a minimum of Graduate Level 3 (G3) certification and has completed an examiner training program;
    3. The SO must charge the general testing fee set by KMG-Country or KMG-HQ if no country-specific price is set.
  3. As part of our commitment to fostering international connections, we ask all SOs to agree to accommodate international guest trainees with valid KMG passports (post-registration), allowing them to participate in regular training sessions free of charge for up to two weeks, or at a reduced fee.

Business Support and Marketing

  1. KMG-HQ and KMG-Country (where applicable) will provide the SO with the current Professional Materials from KMG.
  2. KMG-HQ and KMG-Country will publicize the SO in national and international advertising where applicable, on the official KMG website, and in reply to inquiries received that relate to the locality within the SO’s geographical location.
  3. The SO can present themselves to the general public as an active KMG-affiliated school.
  4. In case of conflicts between two School Owners in relation to KMG Krav Maga activities, KMG-HQ offers to help the parties to come to a suited solution. If no resolution can be reached, KMG-HQ reserves the authority to make a final decision within its scope and in the best interest of the KMG Organization.

Fees

  1. The SO shall pay KMG-HQ or KMG Solutions a membership fee. The fee, set by KMG-HQ or KMG Solutions, may be extended by KMG-Country for additional services. The current fees are published on the website and in the process of subscription.
  2. KMG-HQ or KMG Solutions will charge all membership fees according to the chosen payment frequency (e.g., 12 months, 6 months, 3 months).
  3. KMG-HQ reserves the right to adjust membership fees in the future. Any such adjustments will be communicated to the SO in writing (including email) at least 2 months prior to the effective date of the change. The SO has the right to object to the fee change within 14 days of receiving the notification. If the SO objects within this timeframe, this Agreement will terminate at the end of the current membership period for which fees have already been paid. If the SO does not object to the fee change within the 14-day period, the new fee structure will be deemed accepted and will apply to all subsequent membership periods.
  4. The membership fee may also be paid by the KMG-Country, or a third party on behalf of the SO. However, the respective SO is still required to fill out the registration form.
  5. The fee collection can occur via KMG-HQ, KMG Solutions, or a partner of KMG-HQ. The partner is solely chosen by KMG-HQ and KMG Solutions and can be subject to change without the need for approval.
  6. The form of payment (e.g., credit card, PayPal) is indicated by KMG-HQ or KMG Solutions and may be subject to change. It is the responsibility of the SO to update any changes in the available payment options to ensure that fees can be collected through automated/recurring payment options. The SO acknowledges and agrees that in the event of failed payments, they will be responsible for and charged with the payment provider's fee incurred due to the failed transaction.

Membership Cancellation

  1. The SO has the flexibility to cancel the membership anytime through online account settings or by sending an email to contact@kmguniversity.com. As it is a yearly membership, the SO will retain their membership benefits for the remainder of the term. However, if the SO has selected a payment option other than the yearly payment, they will need to complete the payment for the respective year.
  2. Cancellation will result in the loss of all membership benefits, including access to the online Member Zone, listings in the School Owner Directory, use of the KMG Curriculum and Brand, use of the Level Certification program, and other exclusive resources.

Confidentiality

  1. The Parties undertake to keep strictly confidential from third parties all information relating to this Agreement and confidential information or business secrets disclosed to the other Party under this Agreement, including any confidential information or business secrets disclosed by other members of the Organization. 7. KMG-HQ or KMG Solutions may propose amendments or modifications to this Agreement. Any proposed changes will be communicated to the SO in writing (including email).
    1. The SO will have 14 days to review and respond to the proposed changes. The SO's consent can be confirmed by replying to the email from KMG-HQ or KMG Solutions;
    2. If the SO does not respond within the specified 14-day period, KMG-HQ or KMG Solutions will contact the SO to confirm their receipt of the proposed changes. In the absence of a response after this additional attempt to contact the SO, the proposed changes will be considered accepted;
